Terms & Conditions (Charity)

Introduction

Visufund is a Limited Company registered in England and Wales (company registration number 10141346). Our registered office is at 20-22 Wenlock Road, London, England, N1 7GU. Visufund is an online visual fundraising tool to enable the collection of donations for UK registered charities and individual crowdfunding projects.

This is an agreement between Visufund (www.visufund.co.uk), hereafter referred to as the Website or Company, and any Charity who chooses to use the service provided by the Company. By accepting the Terms and Conditions on creation of an online account, it is understood that the Charity agrees to the below Terms & Conditions.

Registration

1.1 Any Charity registered in the UK may apply to create a Charity Account. The Company may also accept applications from other similar non-profit organisations at its discretion.
1.2 Registering for an online account allows the Charity access to view and test any of the Website features, with no obligation to publish a fundraising page or incur any costs.
1.3 Registration on the Website will always be free.
1.4 Signing up for a Charity account allows a Charity to create its own fundraising pages and allows other Individuals to raise money through the Website for the benefit of the Charity.  Donations raised by Individuals will be subject to the same fees as Charity pages.

Membership

2.1 On registering for an account, a Charity will automatically receive Standard Membership. The Charity may choose to upgrade their account to Premium, which will incur a cost.
2.2 Premium membership lasts for 12 months, and a renewal notification will be sent to the administrator of the Charity account on an annual basis. The Charity may choose to configure their account settings to renew automatically, to ensure there is no break in service.
2.3 Any benefits from upgrading to a Premium Membership will apply to future transactions. Discounts will not be applied to earlier transactions prior to this date.

Pricing

3.1 There is no charge to publish a fundraising page, and it will be available online for a limited period as indicated by the Expiry Date shown upon publication.
3.2 Pages can be extended to remain online for a nominal fee. This cost will not be incurred if the Charity has upgraded their account to Premium.
3.3 A Charity may wish to commission bespoke artwork or request additional changes to a fundraising page. This will incur additional costs and the Charity may be asked to agree to further Terms & Conditions.
3.4 Any invoices must be paid within 30 days by BACS, CHAPS, or electronic bank transfer only. Failure to make payment in the appropriate time may result in temporary suspension of services.

Fees

4.1 The Company charges a service fee on each donation of no more than 5%. This figure may be lower for Charities who have upgraded their membership to Premium.
4.2 All payments made through the Website will be processed by Stripe for credit and debit card payments (https://stripe.com/gb), or PayPal (www.paypal.com), and are subject to payment processing fees as determined by the provider.
4.3 Any donation made to a Charity will be posted to the Charity's Fund Account (less fees) between seven and fourteen days after the transaction. Any Fund Account balance will be transferred to the Charity via electronic bank transfer on a weekly basis.

Individual Fundraising

5.1 The Website provides the facility for individual registered users, to create fundraising pages for the Charity.
5.2 Any donations received through an Individual's page, are processed into the Charity's fund account and transferred to the Charity (see Fees).
5.3 The Website provides full donor and transaction details to the Charity for administrative purposes.
5.4 The Website provides restricted donor details (full name only) to the Individual page owner.
5.3 The Charity may request, via an email from an Admin user, for the Individual Fundraising facility to be disabled on their account.

Responsibilities - The Company

6.1 On creation of a new account, the Company will monitor and check all information provided by the Charity.  This will be done by checking a variety of sources, including but not limited to, the Charity's own website and the Charity Commission.  If the Company is unable to verify the Charity's credentials for any reason, they will be notified by the Company or be asked for further information to validate their identity.
6.2 The Company will transfer the Charity's Fund Account balance to the Charity on a weekly basis.
6.3 The Company will supply details of each Donor and Donation to the Charity by secure login to the Charity account. The Company will not use this data for its own personal use without consent from the Donor. It is the responsibility of the Charity to maintain accurate records on Donor mailing preferences for any future communications, and the Company will not be held responsible for any misuse of personal data.
6.3.1 If the e-card function is enabled on a fundraising page, Donors will have the option to send a message to another Individual relating to their donation.  The Company will not provide any personal details of the e-card recipient but the Charity will be able to ascertain if the feature was used.
6.4 The Company will collect valid Gift Aid declarations from each Donor where possible, and pass this information to the Charity. The Company will not submit Gift Aid claims on the Charity’s behalf.
6.5 The Company may promote a Charity’s fundraising page on its Website and social media channels, but is not responsible for sourcing donors for each campaign.
6.6 Unless otherwise agreed, for example, if the Charity has submitted their own template design or has commissioned the Company to design an exclusive template for its sole use, the artwork for fundraising pages on the Website is owned by the Company. The artwork may be used on multiple pages at any time, including by other Charities and/ or Individual pages, but must not be used by a third party without prior consent from the Company.

Responsibilities - The Charity

7.1 Any employee or official representative of a Charity may register for an account on behalf of the Charity. It is the responsibility of the Charity to ensure that appropriate permissions are enabled for each user.
7.2 The Charity must ensure it notifies the Company of any change of user or account details as soon as possible by updating the user details within the Charity account. It is also the responsibility of the Charity to disable any user accounts of individuals who no longer represent the Charity or are no longer employed by the Charity, in order to protect the data held within the account.
7.3 The Charity is responsible for promoting and marketing its own campaigns.
7.4 The Charity must ensure it treats the personal data of each Donor appropriately, and complies with all current UK laws relating to data protection.
7.5 The Charity must not sell or share any personal data obtained through the Website with any third parties.
7.6 The Charity is responsible for reclaiming any Gift Aid due on the donations generated through the Website.

Termination of Agreement

8.1 The Company may terminate or suspend access to an account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if there is a breach of Terms.
8.2 All provisions of the Terms which, by their nature, should survive termination, shall survive termination.
8.3 The Charity may terminate its account with the Company by contacting us at any time.  Any outstanding invoices must still be paid.

General

9.1 Any use made of this site (including account registrations and donations made via the Website), are subject to these Terms & Conditions. The Company may, at its sole discretion, modify or revise these Terms & Conditions at any time by updating the text of this page and so you should check these Terms regularly.
